By creating an account, logging in, or submitting any data (including sales submissions) through this platform ("MBX"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

MBX is an internal Miller Bros Sales ("MBS") tool intended to:

• •let sales reps submit sales,
• •display estimated commissions, and
• •provide operational visibility to leadership.

MBX is not an employment portal, payroll system, or legally binding earnings statement. It is an administrative tool.

You acknowledge and agree that:

• •You are not an employee of Miller Bros Sales by virtue of using MBX.
• •MBX access does not create any employment, partnership, joint venture, agency, or franchise relationship between you and Miller Bros Sales.
• •You are solely responsible for your own taxes, insurance, licensing, and compliance obligations.

Specifically:

• •Amounts shown in MBX may include data that is incomplete, delayed, entered incorrectly, mapped to the wrong plan, or subject to client-side clawbacks, cancels, QC failures, or policy changes.
• •Nothing displayed in MBX is final, confirmed, or guaranteed.
• •Final compensation, including commissions and bonuses, will be determined and paid through official payroll/commission settlement processes outside MBX. That final number controls — not MBX.

You agree that you will not rely on MBX estimates to make financial decisions or claims.

To the maximum extent allowed by law:

• •Miller Bros Sales, its owners, officers, employees, and agents will not be liable to you for any loss, claim, dispute, deduction, shortfall, delay in payment, or other damages arising from (a) use of MBX, (b) information displayed in MBX, or (c) any difference between MBX estimates and your eventual paid commissions.
• •You understand and agree that MBX is provided "AS IS" and "AS AVAILABLE," without warranties of any kind (express or implied), including accuracy, completeness, reliability, fitness for a particular purpose, or non-infringement.

When you submit information (for example: sales records, addresses, plan type sold, etc.), you confirm that:

• •The information is truthful and submitted in good faith.
• •You have a legitimate right to provide it for business purposes.
• •You understand that providing fake, inflated, duplicate, or misleading submissions is grounds for removal from MBX access and may impact your eligibility for compensation.
• •You grant Miller Bros Sales a non-exclusive right to store, review, analyze, audit, and use that submitted data for internal business purposes, including commission calculation, quality control, dispute review, performance reporting, and client reporting.

You agree that you will:

• •Only submit deals you personally sold or are otherwise authorized to report.
• •Only access your own information and information you are permitted to view.
• •Keep all non-public information you see in MBX (including commission structures, team performance, pricing, internal processes, lead/address data, etc.) strictly confidential and use it only for Miller Bros Sales business.
• •Not copy, scrape, export, download, resell, or publicly share MBX data without written permission from Miller Bros Sales.

You understand MBX may contain proprietary and confidential business information belonging to Miller Bros Sales and/or its clients.

Miller Bros Sales may suspend, limit, or terminate your access to MBX at any time, with or without notice, for any reason or no reason, including suspected misuse, inaccurate submissions, breach of these Terms, or at the request of a client.

You acknowledge that access to MBX is a privilege, not a right or entitlement.

If you believe a commission or payout is missing, incorrect, or has been reduced:

• •You agree to follow the dispute / review process provided by Miller Bros Sales (for example, "Review and Approve," "Dispute" workflows, deadlines, etc.).
• •You understand that disputes may delay payment until resolved, but will not be unreasonably paused longer than the timeline communicated in writing by Miller Bros Sales.
• •MBX itself is not the formal dispute channel; it's just one place where you may see draft numbers. The official dispute channel is whatever Miller Bros Sales designates in writing (email, ticketing, portal, etc.).

You are responsible for:

• 1.Keeping your login credentials secure,
• 2.Preventing unauthorized access to your account, and
• 3.Immediately notifying Miller Bros Sales if you believe your account has been compromised.

Anything submitted or approved under your login will be treated as authorized by you.

Miller Bros Sales may update these Terms from time to time. The updated Terms will be posted or presented during login or continued use.

By continuing to use MBX after an update is posted, you accept the updated Terms.

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law rules.
